The Services are intended for business-to-business (“B2B”) wholesale use. You must be at least 18 years old and able to form a binding contract to use the Services.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization.

• Account information: You agree to provide accurate, current and complete information and to keep it updated.
• Security: You are responsible for safeguarding your credentials and for all activity under your account.
• Verification: We may request information to verify your business and to prevent fraud.

PPREFERR may enable buyers to purchase goods from sellers/suppliers. Unless explicitly stated otherwise, Preferr is not the manufacturer of products listed by third-party sellers and does not control the production process.

Product listings, specifications, images, and availability may change. We and/or sellers may correct errors (including pricing errors) and may cancel affected orders where permitted by law.

You are responsible for ensuring that products you buy or sell comply with applicable laws (including product safety, labeling, and import/export rules).

• Order acceptance: Orders are not binding until confirmed/accepted by the seller and/or processed through the Services.
• Wholesale terms: Minimum order quantities, lead times, and other wholesale terms may apply and may vary by seller or product.
• Pricing: Prices are shown in the applicable currency and may exclude taxes, duties, and shipping unless stated otherwise.
• Payment: Payments may be processed by third-party payment processors. You agree to comply with their terms and to provide valid payment information.
• Taxes: You are responsible for applicable taxes, duties, and similar governmental charges, unless we explicitly state otherwise.

Shipping methods, costs, and delivery estimates depend on product availability, seller processing, and carrier performance. Delivery estimates are not guarantees.

For cross-border shipments, you may be responsible for import duties, taxes, customs clearance, and any required licenses or documentation.

Risk of loss and title may pass as specified at checkout or by the seller’s shipping terms, subject to applicable law.

Return, refund, and cancellation rules may vary by seller, product category, and destination. Where a return policy applies, it will be presented during checkout or in the relevant order flow.

We may suspend investigations or limit remedies where we reasonably believe there is fraud, abuse, or violation of these Terms.

You agree not to:

• Violate applicable laws or regulations.
• Infringe intellectual property or other rights.
• Upload malware, attempt unauthorized access, or disrupt the Services.
• Scrape the Services without our written permission.
• Use the Services for deceptive, fraudulent, or abusive activity.

We may suspend or terminate access if we reasonably believe you have violated these Terms or created risk for the Services or other users.

The Services, including software, design, text, graphics and trademarks, are owned by Preferr or its licensors and are protected by intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of the Services unless permitted by law or with our written permission.

If you submit content to the Services (such as product information, images, reviews, or messages), you grant Preferr a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and use that content to operate and improve the Services.

Disclaimers

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the maximum extent permitted by law, Preferr will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill arising from or related to your use of the Services.

In jurisdictions that do not allow certain limitations, some of the above may not apply. Nothing in these Terms limits liability that cannot be excluded under applicable law.

Indemnity

You agree to defend, indemnify, and hold harmless Preferr and its affiliates, directors, officers, employees, and agents from claims, damages, liabilities, and expenses arising out of your use of the Services, your content, or your violation of these Terms.

Governing law

These Terms are governed by the laws of the Hong Kong Special Administrative Region. You agree to submit to the exclusive jurisdiction of the courts located in Hong Kong, subject to mandatory consumer protection rules where applicable.

Changes

We may update these Terms from time to time. If we make changes, we will post the updated Terms on this page and update the “Last updated” date.
